Terms of Use

These Terms of Use govern your use of VTA Sites ("the Service"), operated by Virtual Tech Angel ("we", "our", "us"). VTA Sites is a managed service that turns Google Sheets into searchable websites and content hubs.

1. Introduction

These Terms of Use govern your use of VTA Sites ("the Service"), operated by Virtual Tech Angel ("we", "our", "us").

By purchasing, accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Service.

2. About the Service

VTA Sites is a hosted service that transforms information stored in Google Sheets into searchable online content hubs, directories, catalogues, listings, resource libraries and similar websites.

We provide the platform, hosting, templates and setup services. You remain responsible for the content published through your site.

3. User Content

You retain ownership of all content you submit to your VTA Site.

By using the Service, you confirm that:

  • You have the right to publish all content submitted.
  • Your content does not infringe any copyright, trademark or intellectual property rights.
  • Your content is accurate and not misleading.
  • Your content complies with all applicable laws and regulations.
  • You have obtained any necessary permissions from individuals or organisations featured in your content.

You are solely responsible for the content published on your site.

4. Prohibited Content

You may not use the Service to publish, promote or distribute:

  • Illegal content.
  • Copyright-infringing material.
  • Defamatory, abusive or harassing content.
  • Hate speech or discriminatory content.
  • Fraudulent or misleading information.
  • Malware, viruses or malicious code.
  • Adult content or pornography.
  • Content that violates the privacy or rights of others.
  • Content promoting illegal activities.

We reserve the right to remove content or suspend access if we believe these Terms have been breached.

5. Fair Use Policy

The Service is intended for reasonable business use.

While we do not currently impose strict limits on the number of records stored within your Google Sheets, we reserve the right to review accounts that:

  • Contain unusually large datasets;
  • Generate excessive traffic;
  • Place disproportionate demands on platform resources; or
  • Require significantly more support than is typical for the subscription plan.

Where appropriate, we may require an upgrade to a higher plan, offer a bespoke solution, apply additional charges, or suspend access until a suitable arrangement is agreed.

6. Account Access and Security

You are responsible for maintaining the security of:

  • Your Google account;
  • Google Sheets used with the Service;
  • Any login credentials associated with your site.

We are not responsible for unauthorised access resulting from weak passwords, compromised accounts, or actions taken by you or your authorised users.

7. Service Availability

We aim to provide a reliable service but cannot guarantee uninterrupted availability.

The Service may occasionally be unavailable due to:

  • Planned maintenance;
  • Software updates;
  • Third-party service outages;
  • Technical issues;
  • Circumstances beyond our reasonable control.

We are not liable for losses arising from temporary interruptions or downtime.

8. Third-Party Services

The Service relies on third-party platforms and providers including, but not limited to:

  • Google Sheets;

  • Google Workspace;

  • Hosting providers;

  • Domain registrars;

  • Other software and infrastructure providers.

We are not responsible for outages, policy changes, API changes, service interruptions or functionality changes caused by third-party providers.

If a third-party provider changes, restricts or removes functionality that affects the Service, we will make reasonable efforts to provide an alternative solution where practical, but cannot guarantee the continued availability of every feature.

9. Setup and Changes

Where setup services are included, we will use reasonable efforts to complete setup within the advertised timescales.

Setup times are estimates and may vary depending on project complexity and the information provided.

Additional customisations, integrations, design changes or support requests outside the scope of the purchased package may incur additional charges.

10. Payments

Subscription fees are payable in advance.

Failure to make payment may result in:

  • Suspension of the Service;
  • Removal of access to your site;
  • Cancellation of your subscription.

All fees are non-refundable except where required by law.

We reserve the right to change pricing in the future. Existing customers will be given reasonable notice before any pricing changes take effect.

11. Cancellation and Data Retention

You may cancel your subscription at any time.

Upon cancellation or non-payment:

  • Your site may be disabled immediately;
  • Public access to the site may be removed;
  • Administrative access may be restricted.

We will normally retain your site configuration and associated data for up to 30 days following cancellation to allow you to reactivate your subscription.

If you reactivate within this period, we will make reasonable efforts to restore your site as it existed prior to cancellation.

After 30 days, we reserve the right to permanently delete your site, associated data and configuration.

Once deletion has occurred, restoration may not be possible.

It is your responsibility to maintain copies of any content or data you wish to retain.

12. VTA Sites Branding

Some subscription plans may include a "Powered by VTA Sites", "Made with VTA Sites" or similar attribution displayed on the site.

Removal of this attribution is only available on eligible subscription plans where specifically stated.

You may not remove, obscure or modify attribution where it forms part of your chosen plan.

13. Intellectual Property

The VTA Sites branding, website content, templates, setup materials, documentation and other materials created by Virtual Tech Angel remain our intellectual property unless otherwise agreed in writing.

You may not copy, redistribute, resell or commercially reproduce these materials without our prior written permission.

This does not affect your ownership of the content, data and information you create and publish through the Service.

14. Refusal of Service and Content Moderation

We reserve the right, at our sole discretion, to refuse, suspend or terminate any account, site or content that we believe:

  • Violates these Terms;
  • Is unlawful or potentially unlawful;
  • Creates legal, reputational or technical risk;
  • Could damage the reputation of VTA Sites or Virtual Tech Angel;
  • Creates excessive support requirements;
  • Is inconsistent with the intended purpose of the Service.

We are under no obligation to provide the Service to all applicants and may decline new accounts at our discretion.

15. Limitation of Liability

To the maximum extent permitted by law, Virtual Tech Angel shall not be liable for:

  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Loss of goodwill;
  • Loss of data;
  • Indirect or consequential losses.

The Service is provided on an "as is" and "as available" basis.

Our total liability arising from your use of the Service shall not exceed the total amount paid by you to us during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under the laws of England and Wales.

16. Indemnity

You agree to indemnify and hold harmless Virtual Tech Angel, its owners, contractors and representatives against any claims, damages, liabilities, costs and expenses arising from:

  • Content you publish;
  • Your use of the Service;
  • Your breach of these Terms;
  • Claims made by third parties relating to content you have submitted.

17. Changes to the Service

We may modify, update, replace or discontinue features of the Service at any time.

Where changes materially affect customers, we will make reasonable efforts to provide advance notice.

We are not obliged to maintain every feature indefinitely.

18. Changes to These Terms

We may update these Terms from time to time.

The latest version will always be available on the VTA Sites website.

Continued use of the Service after changes are published constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
